These Terms of Service ("Terms") govern your access to srinicorp.com (the "Site") and the consulting and implementation services described on it (the "Services"), provided by SRINI CORP ("SRINI CORP," "we," "us," or "our"). By using the Site or engaging our Services, you agree to these Terms.

1. Acceptance of Terms
These Terms govern your access to and use of the Site and the Services. By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
2. Description of Services
SRINI CORP provides custom ERP architecture, NetSuite implementation and rescue, and systems integration consulting. Pricing, timelines, and service descriptions on the Site are provided for general informational purposes only. The scope, fees, and delivery timeline for any actual engagement are set out exclusively in a separate, signed statement of work ("SOW"), which governs over anything stated on the Site.
3. Eligibility
The Site and Services are intended for business use. By using the Site, you confirm you are at least 18 years old and, where applicable, authorized to act on behalf of the organization you represent.
4. Free Resources & Assessments
From time to time we offer free resources, such as downloadable guides, or complimentary architecture audits. These are provided for general informational purposes only, do not constitute professional, financial, tax, or legal advice, and should not be relied on as a substitute for a scoped engagement.
5. Paid Engagements
A paid engagement begins only once an SOW is signed by both parties. Figures referenced on the Site, including any starting price, are indicative and may change based on your specific requirements. Unless an SOW states otherwise, fees are billed by milestone and due on receipt of invoice; we may pause work on overdue accounts.
6. Client Responsibilities
Timely delivery depends on your cooperation. You agree to provide accurate information, reasonable access to relevant systems and personnel, and timely feedback. Delays caused by incomplete or late input on your end may extend agreed timelines.
7. Intellectual Property
All content on the Site — text, graphics, layout, and branding — belongs to SRINI CORP or its licensors. You may not copy, reproduce, or redistribute it without our written permission. Third-party names and logos referenced on the Site, including NetSuite, AWS, Salesforce, and Stripe, are trademarks of their respective owners, shown solely to indicate technology compatibility, and do not imply any partnership, sponsorship, or endorsement unless stated separately in writing.
Unless an SOW says otherwise, deliverables built for a client under a paid engagement transfer to that client on full payment. SRINI CORP retains ownership of its own pre-existing tools, frameworks, and methods used to deliver the work.
8. Confidentiality
Each party may share confidential business or technical information during an engagement. Both parties agree to use it only for the purposes of that engagement and protect it with reasonable care, consistent with any separate confidentiality agreement signed between the parties.
9. Disclaimers
The Site and any free resources are provided "as is," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted or error-free.
10. Limitation of Liability
To the fullest extent permitted by law, SRINI CORP is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or any free resource. Liability for paid engagements is governed by the terms of the applicable SOW.
11. Indemnification
You agree to indemnify and hold SRINI CORP harmless from claims, losses, or expenses arising out of your misuse of the Site or violation of these Terms.
12. Third-Party Services
The Site uses third-party tools, such as Formspree, to process form submissions. Use of these features is also subject to that provider's own terms and privacy policy. We are not responsible for their availability or practices.
13. Termination
We may suspend or restrict access to the Site, without notice, for conduct that violates these Terms. Termination of a paid engagement is governed by the applicable SOW.
14. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes arising from these Terms or the Services are subject to the exclusive jurisdiction of the courts located in India, unless an SOW states otherwise.
15. Changes to These Terms
We may revise these Terms periodically. The date at the top reflects the most recent revision; continued use of the Site after an update constitutes acceptance of the revised Terms.
